The long awaited New Companies Act got enacted in 2013 replacing the old Companies Act 1956. Some of the important changes brought by the new act are- uniformity in the Financial Year, introduction of concept One Person Companies and Dormant Companies, entrenchment provisions, mandatory Corporate Social responsibility, rotation of auditors, compulsory one resident director, female director and independent director for listed companies, prohibition on giving loan to directors by the companies, new deposit regulations etc.
This segment includes our association with the entrepreneurs right from stage of incorporating a company or other corporate structure such Limited Liability Partnership (LLPs) or conversion of Company to LLPs. Assisting the entrepreneurs in various annual and transaction based compliances as applicable such as increase in authorised share capital, effecting changes in Articles of Association & Memorandum of Association, Director’s appointment-resignation and other secretarial compliances. We also advise on drafting of Shareholders and Joint Ventures Agreement considering provisions of Company law, Tax Laws, and FEMA.
